Terms of Service

These Terms of Service ("Terms") govern the relationship between digitalpixelvault ("Studio," "we," "us") and any individual or company ("Client," "you") that engages the Studio for design services. By submitting a quote request and approving a quote, you agree to these Terms.

digitalpixelvault is operated as autónomo trading as digitalpixelvault, C. Llana, 3, Puerto de la Torre, 29190 Málaga, Spain. Tax ID (NIF): — (to be confirmed before go-live)

These Terms are governed by Spanish law. Any disputes are subject to the exclusive jurisdiction of the courts of Málaga, Spain.


1. Services

The Studio provides done-for-you digital design services across four categories: Website & UI Templates / Kits, Graphics & Branding Assets, Custom Design Service, and Digital Downloads / Productized Assets. The specific scope, deliverables, timeline, and price for each engagement are set out in the written quote accepted by the Client.


2. Quotes and acceptance

2.1 A quote is a written proposal setting out the scope of work, deliverables, revision structure, timeline, and price. It is provided free of charge.

2.2 A quote is accepted when the Client confirms acceptance in writing (email confirmation is sufficient) and, where applicable, pays the required upfront payment.

2.3 No work begins until a quote is accepted and payment confirmed.

2.4 The Studio reserves the right to decline a project at any stage before acceptance of a quote without explanation.


3. Payment

3.1 Payment terms: 100% upfront before work begins, for all service tiers. This applies to all service tiers.

3.2 All prices are in EUR and exclude applicable VAT. Where VAT applies (for clients subject to Spanish VAT or EU VAT rules), it is added to the invoice.

3.3 If payment is not received within 14 days of the invoice date, the Studio may suspend work on the project without liability.


4. Revisions

4.1 Each engagement includes a defined number of revision rounds as specified in the quote (typically up to 3 for most services; up to 2 for single-asset Digital Downloads).

4.2 A revision round is one consolidated set of changes communicated by the Client before the round begins. The Studio will not treat an ongoing stream of individual change requests as a single round.

4.3 Changes that fall outside the agreed scope — new deliverables, new directions, additional pages or assets — are quoted as additional work before being undertaken.


5. Intellectual property and ownership

5.1 On receipt of full payment, the Studio assigns all intellectual property rights in the final deliverables to the Client. This is a full assignment — the Client owns the work outright.

5.2 The assignment covers the final deliverables only. The Studio retains ownership of any tools, processes, source libraries, or third-party components used in producing the work, to the extent they are not included in the deliverables.

5.3 Where third-party licensed assets (stock images, typefaces, plugins) are included in the deliverables, the applicable license terms are noted in the delivery documentation. The Client is responsible for compliance with those terms.

5.4 The Studio may use the work — in anonymised or attributed form — in its portfolio, with the Client's written permission.


6. Client responsibilities

6.1 The Client is responsible for providing accurate briefing information, brand guidelines, and any assets or content required for the project.

6.2 The Client is responsible for obtaining any necessary rights or licenses for content, images, or assets provided to the Studio for use in the project.

6.3 The Client approves each stage of the project (concept, revisions, final) in writing. Approval indicates acceptance of that stage.


7. Confidentiality

Both parties agree to keep the other's confidential information — briefs, pricing, and project details — confidential and not to disclose it to third parties without written consent, except as required by law.


8. Warranties and limitation of liability

8.1 The Studio warrants that the deliverables will be produced with reasonable skill and care and will be original works (except where noted in the brief).

8.2 The Studio does not warrant that the deliverables will achieve any particular business outcome, conversion rate, or commercial result.

8.3 To the maximum extent permitted by Spanish law, the Studio's total liability to the Client in connection with any project is limited to the total amount paid by the Client for that project.

8.4 Neither party is liable for indirect, consequential, or special damages.

10. Changes to these Terms

The Studio may update these Terms from time to time. Clients are bound by the Terms in force at the time their quote is accepted. Updated Terms apply to new engagements.
